The basics

What a company change is

A company is registered with a fixed set of facts: its name, its address, the people who own and run it, and the place where it is registered. When one of those facts changes, the registry and usually the tax authority have to be told through a formal filing. In the United States this is typically called an amendment. In the United Kingdom and Hong Kong each kind of change has its own notification form.

Online businesses change often. A store is rebranded, a co-founder joins or leaves, the founder moves to another country, inventory is placed in a new state. Each of these events is simple in commercial terms and still needs to be reflected in the company’s official record, in its internal documents and with the institutions that verified the company when it opened its accounts.

The public record is what banks and payment providers compare your company against. When the name on your store, the directors on the register and the details on your payment account no longer agree, verification requests follow. The risks

What goes wrong when changes are not filed

An unfiled change usually surfaces at the next verification.

  1. Bank and payment records stop matching

    Providers compare the details you give them with the public register. A mismatch typically leads to a request for documents or a paused review.

  2. Official mail goes to the wrong place

    Notices, tax letters and legal documents are sent to the address on record.

  3. Late notification brings penalties

    In the UK and Hong Kong, many changes must be notified within a statutory period, and the company and its officers can be penalized for missing it.

  4. Ownership becomes hard to prove

    If a transfer of shares or membership interests was never documented properly, a later buyer, investor or bank may not accept the current ownership.

  5. Unregistered activity in another state

    A US company that does business in a state where it has not qualified can face back fees and penalties there.

How Atiko handles changes

A change request goes to a filing specialist who already knows your company’s structure. The specialist identifies every place where the fact is recorded: the registry, the tax authority, the internal registers and the governing documents. Some changes have consequences beyond the filing itself. A transfer of ownership can affect how the company and its owners are taxed, and a change of members can alter the tax classification of a US LLC. These questions belong to independent licensed accountants or lawyers. Atiko tells you when a change is of that kind, and files it once you have decided how to proceed.

Avoid these

Common mistakes to avoid

  1. Changing the store name only

    Rebranding the storefront while the company keeps its old legal name is permitted, but the legal name must still appear where the law and your payment provider require it.

  2. Updating the registry and nothing else

    A filed amendment does not update your bank, your payment account or the tax authority.

  3. Backdating documents

    A change takes effect when it is properly approved and, where required, filed.

  4. Removing a person without a successor

    A UK or Hong Kong company must keep at least one director who is a natural person at all times, and a Hong Kong company must keep its secretary.

  5. Forgetting the foreign state

    Leasing a warehouse or hiring staff in another US state can require registration there, in addition to any sales tax obligation.

Questions about company changes

How long does a name change take?

It depends on the registry. Companies House typically processes online filings quickly, while US states and the Hong Kong Companies Registry vary from a few days to a few weeks.

Does my EIN change when the company changes its name?

In most cases the company keeps the same EIN after a name or address change, and the IRS is simply informed. Certain changes of structure or ownership can require a new one.

Can I add a partner to my single-member LLC?

Yes. The new member is admitted under an amended operating agreement. Because moving from one member to several usually changes how the LLC is classified for US tax purposes, speak with a licensed accountant before the change takes effect.

How do I change a director of a UK company?

The company approves the appointment or resignation and files the corresponding notice with Companies House. A new director must verify their identity.

How are shares transferred in a Hong Kong company?

The seller and buyer sign an instrument of transfer and bought and sold notes, which are stamped for stamp duty. The directors then approve the transfer and the company secretary updates the registers.

Can I move my LLC from one state to another?

Several routes exist: registering the existing company in the new state as a foreign entity, converting or domesticating it where both states allow, or forming a new company. Each has different administrative and tax consequences, so the choice is yours, ideally after speaking with a licensed professional.

What is foreign qualification?

It is the registration of a company in a US state other than the one where it was formed, required when it does business there. The company then needs a registered agent there.

Do I need to tell Stripe, Shopify and my bank?

Yes. They hold their own record of your company and expect to be informed of changes to its name, address, owners and representatives. They may repeat part of their verification.
